These Terms of Service ("Terms") govern your use of the Vigiles uptime monitoring platform and related services ("Service") provided by Vigiles Pte. Ltd. ("Vigiles", "we", "us", or "our"), a company incorporated in Singapore. By creating an account or using the Service, you agree to these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 16 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
2. Description of Service
Vigiles provides external uptime monitoring including HTTP/HTTPS endpoint monitoring, TCP port monitoring, DNS resolution monitoring, and SSL certificate monitoring. Additional features include alerting, public status pages, incident management, deployment tracking, and AI-powered reporting depending on your subscription plan.
3. Account Registration
You must provide a valid email address and create a password to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at security@vigileshq.com if you suspect unauthorized access.
4. Subscription Plans and Billing
Plans
The Service is offered under tiered subscription plans (Free, Starter, Pro, Business) with varying feature limits. Plan details and pricing are displayed on our pricing page and may be updated from time to time with reasonable notice.
Payment
Paid subscriptions are billed monthly in Singapore Dollars (SGD) through our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. All fees are exclusive of applicable taxes.
Cancellation and Refunds
You may cancel your subscription at any time through the billing settings. Upon cancellation, your access to paid features will continue until the end of the current billing period. We do not provide refunds for partial billing periods. Your account will revert to the Free plan upon expiration.
Add-on Domains
Additional domain groups may be purchased at S$10/month per domain. Add-on billing follows the same cycle as your primary subscription.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to monitor endpoints you do not own or have authorization to monitor
- Attempt to overload, disrupt, or gain unauthorized access to our infrastructure
- Use the Service to conduct denial-of-service attacks, vulnerability scanning, or penetration testing against third-party systems
- Resell, redistribute, or sublicense access to the Service without written permission
- Use the Service to transmit malware, spam, or unlawful content through alert channels
- Create multiple free accounts to circumvent plan limits
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
6. Monitoring and Data
Your Monitoring Data
You retain ownership of the monitoring configurations and data you provide to the Service. We process your monitoring data solely to provide and improve the Service, as described in our Privacy Policy.
Public Status Pages
If you create a public status page, the monitor names, statuses, and uptime data you include will be publicly accessible. You are responsible for ensuring that no sensitive or confidential information is exposed through your status pages.
Data Retention
Monitoring check results are retained according to your plan tier. We may implement automated retention policies to remove older data. Deleted data cannot be recovered.
7. Service Level and Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. The Service is provided "as is" without warranties of any kind regarding uptime, accuracy of monitoring results, or timeliness of alerts.
Vigiles shall not be held liable for any losses, damages, or costs arising from delayed or missed alerts, inaccurate check results, or Service downtime.
8. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by Vigiles Pte. Ltd. and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription period.
9. Third-Party Services
The Service integrates with third-party platforms including Slack, Microsoft Teams, and email providers for alert delivery. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability or functionality of third-party services.
10. Limitation of Liability
To the maximum extent permitted by law, Vigiles shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of the cause of action. Our total liability for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Vigiles, its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
13. Changes to Terms
We may modify these Terms from time to time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you disagree with changes, you may cancel your subscription and stop using the Service.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
